Terms of Service & Legal Disclaimer

1. Platform Overview

Leasely (“the Platform,” “we,” “us,” or “our”) is a software-as-a-service (SaaS) platform that provides property management tools, rental application processing, tenant screening, lease management, rent collection, and maintenance coordination services. Leasely is operated as a technology platform and does not act as a real estate broker, property manager, landlord, tenant, or legal advisor.

By accessing or using the Leasely platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the platform.

2. Limitation of Liability

IMPORTANT DISCLAIMER

LEASELY IS A TECHNOLOGY PLATFORM ONLY. WE ARE NOT A PARTY TO ANY LEASE AGREEMENT, RENTAL TRANSACTION, PROPERTY MANAGEMENT ARRANGEMENT, OR LANDLORD-TENANT RELATIONSHIP. LEASELY DOES NOT OWN, MANAGE, OR CONTROL ANY PROPERTIES LISTED ON THE PLATFORM.

To the maximum extent permitted by applicable law, Leasely and its officers, directors, employees, agents, affiliates, and licensors shall not be liable for:

  • Any disputes, claims, losses, injuries, or damages arising from landlord-tenant relationships, including but not limited to habitability issues, security deposit disputes, eviction proceedings, or lease violations.
  • The accuracy, completeness, or reliability of any information provided by landlords, property managers, tenants, or third-party service providers through the platform.
  • The condition, safety, legality, or suitability of any property listed on the platform.
  • Any actions or omissions by landlords, property managers, tenants, handymen, contractors, or other users of the platform.
  • Any financial losses, including but not limited to unpaid rent, property damage, or failed payment transactions.
  • Any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or theory of liability.
  • Service interruptions, data loss, or technical errors that may affect the platform’s availability or functionality.

IN NO EVENT SHALL LEASELY’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU PAID TO LEASELY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

3. Landlord & Property Manager Responsibilities

Landlords and property managers using the Leasely platform acknowledge and agree that:

  • They are solely responsible for compliance with all applicable federal, state, and local laws, including but not limited to fair housing laws, landlord-tenant regulations, building codes, and health and safety standards.
  • They are responsible for the accuracy of all property listings, rental terms, and information provided through the platform.
  • They must independently verify tenant applications, screening results, and references. Leasely’s AI screening tools are provided as informational aids only and do not constitute legal advice or guarantee tenant suitability.
  • They are responsible for maintaining properties in habitable condition and addressing maintenance issues in a timely manner, regardless of whether requests are submitted through the platform.
  • They must ensure all lease agreements comply with applicable state and local laws. Leasely-generated lease templates are provided for convenience only and may not address all jurisdiction-specific requirements.
  • They are responsible for proper handling of security deposits in accordance with applicable law.

4. Tenant Responsibilities

Tenants using the Leasely platform acknowledge and agree that:

  • They are responsible for providing accurate and truthful information in all rental applications and communications.
  • They must independently verify property conditions, lease terms, and landlord representations before entering into any rental agreement.
  • Leasely does not guarantee the accuracy of property listings or the reliability of landlords or property managers.
  • They are responsible for understanding and complying with all terms of their lease agreement.
  • Payment of rent through the platform does not alter the terms of their lease or create any additional rights or obligations beyond those in their lease agreement.
  • They should seek independent legal counsel for any disputes with landlords or property managers.

5. Payment Processing & Fees

Payment processing on the Leasely platform is facilitated through Stripe, a third-party payment processor. By using payment features, you agree that:

  • Leasely is not a bank, financial institution, or money transmitter. All payment processing is handled by Stripe and is subject to Stripe’s terms of service and privacy policy.
  • Leasely charges a flat $2.00 Instant Payout Fee per transaction for instant payouts. Standard payouts (1–2 business days) have no additional Leasely fee beyond standard payment processing fees.
  • Standard payment processing fees (e.g., Stripe’s 2.9% + $0.30 for card payments, or 0.8% capped at $5.00 for ACH bank transfers) are separate from Leasely’s fees and are set by the payment processor.
  • Leasely is not responsible for failed, delayed, or reversed payment transactions, including but not limited to insufficient funds, bank errors, chargebacks, or fraud.
  • Landlords and property managers are responsible for ensuring their Stripe Connect accounts are properly configured and in good standing.
  • Leasely reserves the right to modify its fee structure with 30 days’ advance notice to affected users.

6. Maintenance & Repair Requests

The Leasely platform provides tools for coordinating maintenance and repair requests. Users acknowledge that:

  • Leasely does not employ, supervise, or control any handymen, contractors, or maintenance personnel. All service providers are independent third parties.
  • Leasely is not responsible for the quality, timeliness, safety, or legality of any maintenance or repair work performed.
  • Landlords and property managers are solely responsible for vetting, hiring, and supervising maintenance personnel.
  • Leasely does not guarantee the availability of service providers or the resolution of maintenance issues.
  • Users should verify that all contractors and service providers carry appropriate licenses, insurance, and bonding as required by applicable law.

7. Lease Agreements

Regarding lease agreements generated or managed through the platform:

  • Leasely provides lease templates as a convenience tool only. These templates do not constitute legal advice and may not comply with all jurisdiction-specific requirements.
  • Users are strongly encouraged to have all lease agreements reviewed by a qualified attorney licensed in the relevant jurisdiction before execution.
  • Leasely is not responsible for any errors, omissions, or legal deficiencies in lease agreements, whether generated by the platform or uploaded by users.
  • Electronic signatures facilitated through the platform are intended to comply with the ESIGN Act and UETA, but users should verify compliance with local requirements.
  • Leasely does not enforce lease terms and has no obligation to mediate or resolve disputes arising from lease agreements.

8. Data Privacy & Security

Leasely takes data privacy and security seriously. However:

  • While we implement industry-standard security measures, no system is completely secure. Leasely cannot guarantee that unauthorized access, data breaches, or data loss will not occur.
  • Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their accounts.
  • Personal information collected through the platform is used in accordance with our Privacy Policy.
  • Landlords and property managers are responsible for complying with applicable data protection laws when collecting and processing tenant personal information through the platform.
  • Leasely may share information with third-party service providers (e.g., Stripe, screening services) as necessary to provide platform functionality.

9. Dispute Resolution

Any disputes arising out of or relating to these Terms of Service or your use of the Leasely platform shall be resolved as follows:

  • Informal Resolution: The parties shall first attempt to resolve any dispute informally by contacting Leasely support at [email protected].
  • Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Charlotte, North Carolina.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Leasely and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of the platform or violation of these Terms.
  • Any content or information you provide through the platform.
  • Your violation of any applicable law or regulation.
  • Any dispute between you and another user of the platform.
  • Any claim by a third party arising from your use of the platform or your landlord-tenant relationship.

11. Modifications to Terms

Leasely reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on the platform and updating the “Last updated” date. Your continued use of the platform after such modifications constitutes your acceptance of the revised terms.
